MIAMI PULSE COLLECTIVE VENUE SERVICES AGREEMENT

This Venue Services Agreement outlines the terms between Miami Pulse Collective LLC, referred to as “MPC,” and the venue identified below, referred to as the “Venue.”

Complete all required fields and review the agreement carefully before signing. Submission by the Venue does not finalize the engagement. The agreement becomes effective only after review and countersignature by an authorized representative of MPC.

SECTION 4: PAYMENT TERMS

Payment must be submitted through the official Miami Pulse Collective Venue Payment Form unless MPC approves another payment method in writing.

Flat-rate payments are due according to the payment deadline confirmed for the engagement.

Percentage-based payments must be accompanied by the applicable point-of-sale report and paid within 48 hours after the engagement.

The Venue may not deduct staffing costs, operating expenses, entertainment expenses, processing fees, rent, utilities, or unrelated discounts from net bar sales.

A payment is not considered complete until the funds are successfully received by MPC.

SECTION 5: VENUE RESPONSIBILITIES

The Venue agrees to:
• Provide safe and reasonable access to the performance area.
• Provide adequate electrical power and any venue-owned equipment included in the engagement.
• Maintain all required business, alcohol, occupancy, and operating licenses.
• Provide appropriate venue staffing, bartenders, security, and crowd management unless otherwise agreed in writing.
• Provide MPC and its scheduled performers reasonable access for setup, sound check, performance, and breakdown.
• Notify MPC promptly of schedule, access, staffing, or operational changes.
• Prevent venue employees, contractors, or guests from damaging MPC equipment.
• Provide accurate sales records when compensation is based on net bar sales.

I am authorized to accept these responsibilities on behalf of the Venue.

SECTION 6: MPC RESPONSIBILITIES

MPC agrees to:
• Provide the entertainment or services identified in this agreement.
• Arrive within the agreed setup window.
• Perform during the scheduled engagement period.
• Use reasonable professional care while operating inside the Venue.
• Communicate material scheduling or staffing changes as soon as reasonably possible.
• Provide substitute talent of comparable professional ability when necessary and reasonably available.

SECTION 7: CANCELLATION AND RESCHEDULING

Cancellation and rescheduling terms must be confirmed in writing.

If the Venue cancels after MPC has reserved the date, committed talent, purchased materials, or incurred approved expenses, the Venue remains responsible for any non-refundable deposit, committed talent costs, approved expenses, and other cancellation charges stated in the confirmed booking.

Weather-related, emergency, or government-ordered closures will be handled through rescheduling when reasonably possible. Any expenses already incurred remain payable.

I understand that cancellation may result in payment obligations.

SECTION 8: EQUIPMENT, DAMAGE, AND SAFETY

Each party remains responsible for its own equipment unless otherwise stated in writing.

The Venue is responsible for damage to MPC equipment caused by Venue employees, contractors, guests, unsafe conditions, power issues, or unauthorized handling.

MPC may pause or end a performance when conditions present a reasonable safety risk to performers, staff, guests, or equipment. Ending an engagement for a documented safety concern does not automatically eliminate the Venue’s payment obligations.

SECTION 9: INDEPENDENT CONTRACTOR

MPC and its performers are independent contractors. Nothing in this agreement creates an employment relationship, partnership, joint venture, or agency relationship between MPC and the Venue.

Each party is responsible for its own taxes, employees, contractors, insurance, licenses, and legal obligations.

SECTION 10: PROMOTION AND BRAND USE

The Venue grants MPC permission to use the Venue’s public name, approved logo, and event information to promote the engagement.

Neither party may falsely represent ownership, employment, endorsement, or a permanent partnership beyond the scope of the confirmed engagement.

Photography and video captured during the engagement may be used for reasonable promotional purposes unless the parties agree otherwise in writing.

SECTION 11: LIABILITY AND INDEMNIFICATION

Each party is responsible for claims, losses, damages, or expenses caused by its own negligence, misconduct, contractual violations, employees, contractors, or operations.

The Venue is responsible for maintaining a lawful and reasonably safe premises, including crowd management, alcohol service, occupancy compliance, and venue security.

Nothing in this agreement requires either party to indemnify the other for the other party’s sole negligence or intentional misconduct.

SECTION 12: ELECTRONIC TRANSACTIONS

The parties agree to conduct this transaction electronically. Electronic records and signatures may be used to document acceptance of this agreement.

The Venue confirms that the person signing has authority to bind the Venue.

The Venue understands that its submission is an offer to enter the agreement. The agreement becomes effective only after MPC reviews and countersigns or otherwise provides written acceptance.

SECTION 13: GOVERNING LAW AND COMPLETE AGREEMENT

This agreement is governed by the laws of the State of Florida.

Any legal proceeding arising from this agreement must be brought in a court of proper jurisdiction in Miami-Dade County, Florida.

This agreement, together with any attached service details or written amendments accepted by both parties, represents the complete agreement for the engagement.

Changes must be approved in writing by both parties.

If one provision is found unenforceable, the remaining provisions will continue in effect.
