Coastal Crown Lifestyle™ Founding Crown Tester Non-Disclosure Agreement (NDA)
Welcome to the Founding Crown Tester program! By joining this exclusive group, you gain early access to our latest innovations—including prototypes, formulations, and strategic business information. Due to the sensitive nature of these materials, confidentiality is a requirement for participation.
Definition of Confidential Information
Confidential Information includes, but is not limited to:
• Product formulations
• Ingredients and ingredient combinations
• Manufacturing processes
• Product performance data
• Testing procedures
• Tester feedback from other participants
• Product names
• Collection names
• Fragrance concepts
• Packaging
• Labels
• Logos
• Photography
• Marketing strategies
• Launch schedules
• Pricing
• Vendor information
• Supplier information
• Research and development
• Trade secrets
• Business plans
• Any unpublished information shared verbally, electronically, physically, visually, or in writing.
Participant Responsibilities
The participant agrees to:
• Keep all confidential information strictly confidential.
• Not disclose confidential information to any individual or organization without prior written permission from Coastal Crown Lifestyle™.
• Not post products, packaging, formulas, ingredients, labels, photos, videos, reviews, screenshots, or discussions on social media, websites, blogs, forums, or other public platforms without written authorization.
• Protect confidential information from unauthorized access.
• Immediately notify Coastal Crown Lifestyle™ if confidential information is accidentally disclosed.
• Not provide testing products to anyone else.
• Not sell, redistribute, loan, or transfer testing products.
No Reverse Engineering or Product Duplication
The participant agrees that they will not, directly or indirectly:
• Reverse engineer any Coastal Crown Lifestyle™ product.
• Attempt to identify, duplicate, recreate, copy, or reproduce any formulation or ingredient combination.
• Chemically analyze or commission laboratory analysis of any testing product.
• Disassemble, deconstruct, or otherwise attempt to determine how any product was formulated or manufactured.
• Use information obtained during testing to create competing products.
• Assist another individual or company in reproducing or copying any Coastal Crown Lifestyle™ product, formulation, fragrance, packaging, concept, or manufacturing process.
• File patents, trademarks, copyrights, or other intellectual property rights based upon confidential information obtained through participation in this program.
Ownership of Intellectual Property
All formulations, inventions, discoveries, concepts, product names, fragrance collections, branding, packaging, documentation, research, trade secrets, photographs, graphics, marketing materials, and all other intellectual property remain the exclusive property of Coastal Crown Lifestyle™.
Participation in this testing program does not grant ownership, licensing rights, manufacturing rights, resale rights, or permission to reproduce any confidential information or products.
Participants retain ownership of their personal opinions while granting Coastal Crown Lifestyle™ permission to use submitted feedback internally for research, product development, quality improvement, and future product design.
Confidentiality begins immediately upon signing this agreement and continues for five (5) years after participation ends, or until the confidential information becomes publicly available through an official Coastal Crown Lifestyle™ release, whichever occurs first.
Return or Destruction of Confidential Materials
Upon request, participants agree to return or securely destroy confidential documents, prototypes, notes, photographs, samples, and other confidential materials belonging to Coastal Crown Lifestyle™.
No Employment or Partnership
Participation in this testing program does not create employment, partnership, agency, ownership, or financial interest in Coastal Crown Lifestyle™.
This agreement shall be governed by the laws of the State of Florida.
