(hereinafter 'Center') to the person identified below as Customer.
Customer understands that Center’s facilities and services may not be used for any illegal or illegitimate purposes or for any purposes prohibited by United States postal regulations. Customer further agrees to use the mailbox service or any other Center facilities in conformity with all applicable federal, state, and local laws and regulations.
By completing this Agreement and United States Postal Service (USPS) Form 1583, which will be filed with the USPS, Customer appoints Center as its agent for the receipt of mail and parcels. This Agreement shall remain confidential except that Customer understands that this Agreement and the USPS Form 1583 may be disclosed upon the request of any law enforcement or governmental agency. Customer is responsible for the proper and truthful completion of USPS Form 1583 and agrees that a separate form must be completed for each individual or entity for which mail is expected to be received under this Agreement.
Customer agrees that the terms and conditions of this Agreement apply to all such individuals or entities and that Customer shall be responsible for their compliance hereunder. Customer agrees that if Customer moves or if the information on the USPS Form 1583 becomes obsolete, that it is Customer’s responsibility to notify Center and complete a new USPS Form 1583. Customer agrees that certified, certified-return-receipt, express, registered, insured or C.O.D. mail or parcels will be accepted by Center on behalf of Customer so long as Customer has provided full advance payment to Center of all C.O.D. delivery charges. Customer agrees that Center will receive and sign for Customer all FedEx, UPS, DHL and other common carrier packages or parcels that are properly addressed to Customer.
Under no circumstances will Center be accountable, or liable for, any such mail, packages or parcels. Customer acknowledges that the USPS requires the use of PMB (private mailbox) or the # symbol in Customer’s delivery address designation and may refuse to deliver any piece of mail that does not use the designation “PMB” or “#” followed by Customer’s mailbox number in the address. Customer agrees to use the address designation “PMB” or “#” to designate Customer’s address and agrees not to use the words “post office box”, “PO Box”, “box”, “apartment” or “suite” in Customer’s delivery address designation. Customer is responsible for notifying correspondents of this address designation.
Customer agrees to use the mailbox service and Center’s facilities in accordance with the terms of this Agreement and Center’s rules which may be provided to Customer from time to time. Customer’s failure to do so may result in cancellation of service without notice or refund. Customer agrees no hazardous or dangerous material will be delivered to Center. Mailbox service fees are all due and payable quarterly in advance.
There will be no prorations or refunds for cancellation of any service. Accounts are delinquent after the due date and mail will be held pending payment. A late fee of five dollars will charged if payment is not received within five (5) days of due date. Service may be terminated at the option of Center thirty (30) days after the due date.
If necessary arrangements are not made for the forwarding of mail when the agency relationship has expired, is canceled or is terminated, Customer agrees and hereby instructs Center that any mail may be destroyed. Upon termination of service, Center will forward Customer’s mail to the address provided by Customer in writing, provided Customer pays the postage and packaging material and handling fees to Center in advance. A deposit is required for this service. Thereafter, if Customer requires forwarding of mail, additional fees will be required and charged for this service and must be paid in advance to Center. In the event that Customer fails to pay the required fees, Customer agrees and hereby instructs Center that any mail may be refused or destroyed. Customer acknowledges that the USPS will not forward or return mail without payment and will not accept a Change of Address. Customer further agrees that Center may terminate or cancel this Agreement for good cause at any time by providing Customer thirty (30) days written notice to the address below.
Good cause shall include, but is not limited to: (a) abandonment; (b) use for criminal, illegal or illegitimate activity; (c) failure to pay moneys owed Center, (d) use of mailbox inconsistent with this Agreement, including receipt of an unreasonable volume of mail; and (e) nonperformance of the terms of this Agreement. Renewal of this Agreement for additional terms shall be at Center’s sole discretion. Customer further agrees to protect, indemnify and save harmless Center from and against any and all claims, demands, and causes of action arising out of or in connection with the use or possession of a mailbox hereunder, including without limitation, any demands, claims and causes of action for personal injury or property damage arising from such use or possession, from failure of the USPS or other delivery services to deliver on time or otherwise any items (mail, parcels, etc.), from damage to or loss of mailbox contents by any cause whatsoever (including but not limited to fire, theft, vandalism, war or acts of God) and from any violations by Customer of applicable federal, state or local laws and any expense of Center incurred in a defense of the same shall be reimbursed by Customer.
Customer understands that the relationship of the parties hereto is one of bailment and not landlord and tenant. CUSTOMER HEREIN AGREES THAT THE TOTAL LIABILITY OF MAIL BOX CENTER LIMITED LLC FOR ANY AND ALL CLAIMS IN LIMITED TO FIFTY DOLLARS ($ 50.) REGARDLESS OF THE NATURE OF THE CLAIM.
