“Confidential Information” means all non-public information related to the activity, as deemed by the other party each party receiving Confidential Information (“Recipient”) from the party disclosing such Confidential Information has agreed not to disclose, divulge, or communicate such Confidential Information to a third party.

Recipient agrees that either party or their representatives will not disclose, divulge, communicate, or confirm to any person or entity, for any purpose or reason whatsoever, any Confidential Information, without the prior written consent of the other party.

Exceptions to this include: information that is already a matter of public information or is requested in the context of a subpoena or records request in connection with a lawsuit. In response to a subpoena, the parties shall give adequate notice to the other party that such Confidential Information has been asked in connection with a lawsuit and shall allow both parties to enter into such proceedings to protect against disclosure of such Confidential Information.
