Mini Dapp SDK Terms and Conditions

PLEASE READ THE FOLLOWING CAREFULLY AND SUBMIT INFORMATION REQUESTED IN THIS FORM.
Mini Dapp SDK("SDK") is software development kit provided by LINE NEXT Inc.("LNXT") that allows you to use all necessary features to deploy your Mini Dapp.
In order to release a Mini Dapp, the demo must be evaluated based on the criteria set by LNXT, and once approved by LNXT, the Mini Dapp may be released.
HOWEVER, BASED ON LNXT'S INTERNAL EVALUATION CRITERIA, SOME MINI DAPPS MAY BE DETERMINED TO BE UNDEPLOYABLE, AND LNXT WILL NOT COMPENSATE YOU FOR ANY RESOURCES USED TO DEVELOP THE DEMO.
Complete your Mini Dapp demo("Demo") using this SDK and submit your Demo to LNXT for an internal evaluation process to determine if it will be released. Until a decision is made by LNXT, you are prohibited from exposing your Demo or any service related to SDK externally without a prior permission from LNXT, and if such an event occurs, it will be considered as a serious breach of terms.
Until your Demo is selected through an internal evaluation process, all transaction amounts generated through this SDK for testing, or any other purposes will be retained by LNXT and shall not be refunded to you.
In order to use the SDK, you must agree to these terms and submit required information to LNXT. Collection and use of the submitted information will be managed in accordance with LINE NEXT Inc.’s Privacy Policy. The information you submit will be retained until the end of your contract with LNXT or the termination of your use of the SDK.
Please note that LNXT may share this information with related parties or affiliated companies for the purpose of providing the SDK.

[Terms and Conditions]
(i) You agree that you may only use the SDK for the purpose of development prior to the launch of the Service. You may not use the SDK for any other purpose, including, but not limited to, for integration after the launch of the Service unless you execute a separate written agreement with LNXT. You also agree that use of the SDK with services other than the Service specified under Section 1, clause (c) above is strictly prohibited.
(ii) You agree that the form and nature of the SDK that LNXT provides may change without prior notice to you and that future versions of the SDK may be incompatible with applications developed on previous versions of the SDK. You agree that LINE NEXT Inc. may stop (permanently or temporarily) providing the SDK (or any features within the SDK) to you or to users generally at LNXT’s sole discretion, without prior notice to you.
(iii) You agree that all proceeds from transactions that occur before the launch of your Mini Dapp upon LNXT's approval will be retained by LNXT and will not be refunded to you.
(iv) Your use of the SDK does not grant you any ownership of or any other rights with respect to any content, code, data or other materials that you may have access to via the SDK. LNXT reserves all rights in and to such content, code, data or other materials.
(v) You agree to indemnify and hold harmless LNXT, its officers, directors, shareholders, employees, agents, affiliates, attorneys, suppliers, contractors, representatives and service providers, from and against any and all claims, demands and actions arising out of or related to (i) your breach of these terms, (ii) your violation of any applicable law, (iii) your use or misuse of the SDK, and (iv) your negligence, fraud, willful misconduct or misrepresentations. In the event of any damage to LNXT or a third party as a result of your breach of terms, you shall be held liable and shall fully indemnify LNXT for any losses in connection therewith.
(vi) You fully acknowledge that your Mini Dapp may not be released if your Demo does not meet LNXT's internal evaluation criteria, and you agree that LNXT will not compensate you for any resources used to developing the Demo.
(vii) YOU EXPRESSLY UNDERSTAND AND AGREE THAT ACCESS TO AND USE OF THE SDK IS AT ITS SOLE RISK, AND THAT THE SDK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, LNXT MAKES NO EXPRESS WARRANTIES AND HEREBY DISCLAIMS ALL IMPLIED WARRANTIES REGARDING THE SDK AND ANY PART OF IT, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CORRECTNESS, ACCURACY, OR RELIABILITY.
(viii) You may not assign or transfer any of its rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without the prior written consent of LNXT, which may be withheld in LNXT’s sole discretion.

(ix) These terms and conditions, and any claim or dispute arising out of or in connection with the subject matter of these terms and conditions, shall be governed by and construed in accordance with the laws of the State of California, without regard to principles of conflict of laws (except to the extent governed by U.S. federal law).
