1. Acceptance of Terms
The services provided by Studious Coworking Space ("Studious") to you are subject to these Terms of Use ("TOU"). Studious reserves the right to update the TOU at any time and will attempt to notify you of any updates within 30 days.
2. Description of Services
Studious provides access to office space, workstations, internet, use of office equipment, conference space, knowledge resources, and other services ("Services"). These Services are always subject to the TOU.
3. No Unlawful or Prohibited Use
By using Studious's Services, you agree not to engage in any unlawful or prohibited activities, including:
• Network Security: Do not damage, disrupt, or interfere with any Studious server or network.
• Unauthorized Access: Do not attempt to gain unauthorized access to any Services, accounts, or networks connected to Studious. This includes hacking, password mining, or other malicious practices.
• Malicious Activities: Do not engage in activities that compromise the security or integrity of the Services, such as sending spam, facilitating hacking attempts, or distributing malware.
• Rights Infringement: Do not use the Services in a way that infringes on others' rights, including privacy and intellectual property. Do not upload or share copyrighted material without authorization.
• Legal Compliance: Ensure your use of the Services complies with all applicable laws and regulations. Do not use the Services for any illegal activities.
4. Use of Services
When using the Services provided by Studious, you agree to follow these rules:
• No Unsolicited Messages: Avoid contests, pyramid schemes, chain letters, junk email, and spamming.
• Respect Others: Do not defame, abuse, harass, stalk, threaten, or violate the legal rights of others.
• Appropriate Content: Do not share inappropriate, profane, defamatory, obscene, or unlawful materials.
• Respect Intellectual Property: Only upload materials if you own the rights or have obtained necessary consent.
• Maintain a Virus-Free Environment: Do not upload files with viruses, Trojan horses, worms, or other harmful software.
• Legal Downloads Only: Do not download files that cannot be legally reproduced, displayed, performed, or distributed.
• Respectful Use: Do not restrict or inhibit other users from using and enjoying the Services.
• Protect Data Privacy: Do not collect information about others without their consent.
• Comply with Laws: Follow all applicable laws and regulations while using the Services.
• Honest Representation: Do not create a false identity or mislead others about your identity or the origin of your communications.
5. Privacy
Studious reserves the right to disclose any information about your participation and use of the Services as necessary to comply with laws, regulations, legal processes, or governmental requests. We also reserve the right to edit, refuse to post, or remove any information or materials at our sole discretion.
For safety and security, Studious uses security cameras to monitor and record activities. By signing this agreement, you consent to this surveillance.
6. Building Rules
To ensure a safe, secure, and respectful environment for all members, the following rules must be adhered to at all times while using Studious facilities:
Preservation of Property: Do not damage, deface, or alter any part of the building, including its fixtures, fittings, decor, and furnishings.
Security and Safety:
• Do not compromise the building's security or protection systems, including those related to fire, flood, gas, electricity, or weather.
• Ensure that all security measures, such as locks and alarms, are properly used and maintained. Do not bypass or leave security locks in an open position. External doors should never be propped open while unattended.
Prohibited Activities:
• Sleeping is prohibited in the office; however, short naps are acceptable.
• Smoking and the use or possession of illegal drugs are strictly prohibited within the building. Being under the influence of illegal drugs while on the premises is also prohibited.
Respectful Behavior:
• Harassment, bullying, or any behavior that makes others feel uncomfortable is strictly prohibited. Treat all members, guests, and staff with respect and courtesy.
7. Closing Responsibilities
You are responsible for closing door, turning off lights and AC unit especially after 6 pm or if you believe you are the last person on the premises.
8. Confidentiality
You may be exposed to Confidential Information, which includes non-public, confidential, or proprietary information. You agree to:
• Maintain all Confidential Information in strict confidence.
• Not disclose Confidential Information to third parties.
• Not use Confidential Information in any way detrimental to Studious or its members.
All Confidential Information remains the property of Studious or the disclosing party.
9. Participation In or Use of Services
You use the Services at your own risk. Studious is not liable for any loss of information or property resulting from your participation in or use of the Services.
10. Disclaimer of Warranties
Studious provides the Services "as is" and disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. The entire risk as to the quality and performance of the Services is with you.
11. Exclusion of Incidental, Consequential and Certain Other Damages
To the maximum extent permitted by applicable law, Studious, including its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present, and future officers, agents, shareholders, members, representatives, employees, successors, and assigns, shall not be liable for any damages arising out of or related to your use or inability to use the Services. This includes, but is not limited to, direct, special, incidental, indirect, punitive, consequential, or other damages such as:
• Loss of profits
• Loss of confidential or other information
• Business interruption
• Personal injury
• Loss of privacy
• Failure to meet any duty (including good faith or reasonable care)
• Negligence
• Any other pecuniary or other losses
This limitation applies even if Studious has been advised of the possibility of such damages and regardless of the form of action, whether based on contract, tort (including negligence), strict liability, breach of contract, or breach of warranty.
Certain jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; therefore, the above limitations may not apply to you. In such jurisdictions, Studious liability is limited to the maximum extent permitted by law.
12. Limitation of Liability and Remedies
Regardless of any damages you may incur for any reason, including all direct, general, and referenced damages, the total liability of Studious, its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present, and future officers, agents, shareholders, members, representatives, employees, successors, and assigns, under any provision of this Terms of Use (TOU), is limited to the actual damages you incur based on reasonable reliance, up to a maximum of ten dollars (USD $10.00).
This limitation is your exclusive remedy for any damages you may incur. All limitations, exclusions, and disclaimers stated in this TOU, including those in Sections 10 and 11, apply to the maximum extent permitted by applicable law, even if a remedy fails its essential purpose.
13. Termination
Termination of Services: Studious reserves the right to terminate any Service at any time, with or without cause, by providing a 30-day notice to the member.
Immediate Termination for Non-Compliance: Studious reserves the right to immediately terminate your participation in and use of any Services without prior notice if you fail to comply with any provisions of the Terms of Use (TOU). Such termination shall be effective immediately upon notice of the breach.
14. Indemnification
You hereby release, indemnify, defend, and hold harmless Studious, including its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present, and future officers, agents, shareholders, members, representatives, employees, successors, and assigns, from and against any and all claims, liabilities, losses, damages, costs, expenses, judgments, fines, and penalties. This indemnification covers any claims arising out of or related to your negligent actions, errors and omissions, willful misconduct, or fraud in connection with your participation in or use of the Services.
In addition, if you bring any claim or lawsuit in violation of this agreement, you agree to be responsible for any attorneys’ fees and costs incurred by Studious or its respective officers and agents in defending against such claim or lawsuit.
This indemnification obligation applies regardless of whether the claim is made by you, a third party, or any other party, and remains in effect even after you cease using the Services.
15. Severability
If any provision or portion of this Terms of Use (TOU) is found to be invalid, illegal, or unenforceable for any reason, that provision or portion shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the offending provision or portion shall be severed from this TOU.
In either case, the remaining provisions of this TOU will continue in full force and effect and will not be affected or impaired in any way. The validity, legality, and enforceability of the remaining provisions shall remain intact to the fullest extent permitted by applicable law.
16. Insurance
Studious will maintain Liability and Business Personal Property insurance to cover its own property within the coworking space. However, this insurance does not extend to your personal property. Therefore, it is strongly recommended that you obtain Renters Insurance to protect your equipment and belongings while using the space.
Studious and The Lee Family Trust (landlord) are not liable for any theft, loss, or damage to your personal property under any circumstances. To enhance the security of your items, it is advised that you:
• Use cable lock systems for all electronic devices.
• Utilize the locking file cabinet provided in your membership plan for secure storage.
• Pack in and pack out your belongings each day if no secure storage is provided.
17. Parking
• City Regulations: Follow all city parking rules. Do not park in Studious's lot. Park according to posted signs.
• Short-Term Parking: Short-term parking passes may be available at the manager's discretion. Display these passes visibly.
• No Alley Parking: Parking in the alley is a tow away zone. Violators will be towed at the owner’s expense.
• Valuables: Do not leave valuables in your vehicle. Studious is not responsible for theft or loss.
• Parking Lot Security: Studious does not guarantee the security of parked vehicles. Park at your own risk.
