PROPRIETARY INFORMATION DISCLOSURE & NON-DISCLOSURE AGREEMENT (NDA)
PRELIMINARY MUTUAL RECOGNITION
This non-disclosure agreement ("Agreement") is entered into by and between the candidate ("Receiving Party") and EYES UP TELAUTOMATICS ("Disclosing Party"). By proceeding with this form, the Receiving Party explicitly acknowledges that they are seeking entry into a highly confidential commercial and technical incubator environment.
1. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" refers to any and all proprietary technical, operational, and architectural data disclosed within this platform or subsequent private discussions. This includes, but is not limited to:
- Data Models: Proprietary 3D spatial indexing workflows, PostgreSQL/PostGIS boundary intersection math, and customized telemetry ingestion engines.
- Hardware Frameworks: Edge-processing firmware images, single-board sub-GHz radio monitoring topographies, and decentralized base station deployment architectures.
- Business Operations: FAA Supplemental Data Service Provider (SDSP) integration loops, commercial billing logic, and municipal legal compliance strategies.
2. OBLIGATIONS OF RECEIVING PARTY
The Receiving Party shall hold all Confidential Information in the strictest confidence and shall take all reasonable precautions to prevent unauthorized dissemination. The Receiving Party shall not:
- Replicate, reverse-engineer, alter, or modify any software, schemas, or hardware strategies shared by the Disclosing Party.
- Utilize the Disclosing Party's proprietary workflows to independently design, code, build, or deploy competing airspace domain awareness or telemetry recovery systems.
- Disclose the existence of ongoing technical parameters to any third party, including academic faculties, student organizations, or competing entities, without prior explicit written execution from the Director of Airspace Operations.
3. REMEDIES OF RECEIVING PARTY
The Receiving Party understands and agrees that any unauthorized use or disclosure of this Confidential Information will cause irreparable and immediate economic harm to EYES UP TELAUTOMATICS LLC. In the event of a breach, the Disclosing Party shall be entitled to seek immediate injunctive relief, as well as full statutory damages and legal feeds incurred during enforcement.
MANDATORY ACKNOWLEDGE:
I certify under penalty of immediate platform disqualification and formal legal liability that I have read, understood, and unreservedly agree to the binding terms of this Non-Disclosure Agreement. I affirm that I am entering this manifest in good faith as a technical professional, not a casual hobbyist.
