Read it before you sign. 1. 👋 Who We Are The short version: AngelMe (Angel Fund, LLC) is an Atlanta-based research team studying how people donate money to people like you who need help. We built a platform — angelme.app — where people can post a short video about a need, and others can choose to send money directly through apps like Venmo or CashApp. We're in early testing ("Phase 0"). We provide this platform to facilitate our research without any charges or fees. As part of this research, we may contact you after your campaign to ask follow-up questions — like a short survey or brief interview — about your experience. This is optional, but helps us improve the platform. We'll always ask before scheduling anything. We are not a bank, payment app, charity, syndicator or fundraising platform. Questions? AngelMe does not act as a payment processor, money transmitter, syndicator or charitable organization. Participants are either a person who is donating money (an “Angel”) or a person who is requesting money (an “Asker”). Askers may be contacted for voluntary follow-up surveys or interviews as part of the research study. 2. ✅ Who Can Participate The short version: You need to be 18+ (or have a parent/guardian sign too). Everything you tell us has to be true. You can only run one campaign at a time. • 18 years or older — OR under 18 with a parent/guardian who also signs this form • A U.S. resident • Able to honestly describe a real need you currently have • Not already running an active campaign with us We can verify your identity at any time and may ask for things like a photo of your state ID, a selfie, or a quick check of your social media profile. We reserve the right to turn down or cancel any application we can't confirm. Legal language: AngelMe reserves the right to verify Asker identity — including but not limited to government-issued ID review, social media verification, or other reasonable means — and to reject or revoke participation for any reason, including inability to verify eligibility. Askers must not be legally allowed to and must not be prohibited from receiving peer-to-peer payments. 3. 🚫 What You Can't Do The short version: Don't lie, don't spam, don't fake a need. Keep it real. • No making up or exaggerating your need • No pretending to be someone else • No illegal, hateful, or harmful content in your video • No using someone else's personal info without their permission • No trying to manipulate or scam Angels If you break these rules we will remove your campaign and ban you from the platform — no warning required. Legal language: AngelMe reserves the right to remove content, suspend, or permanently terminate participation for violations without notice. Askers grant, represent and warrant that all submitted content is truthful and lawful and in full compliance with AngelMe guidelines and requirements. 4. 🎥 What Happens to Your Video The short version: You keep ownership of your video. You agree that for up to 2 years, we can use it to show off the platform — on our website, social media, in investor pitches, etc. For highlight reels and historical brand storytelling, we may keep using your video indefinitely, but only in that archived/compiled context. We won't use your face to train AI without asking you first. • You OWN your video — we just get a license to use it • Active campaign use license lasts 2 years from when you submit • We can post it, edit it, share it, or include it in marketing materials during that period • After 2 years, we may continue to use your video solely in compiled highlight reels, archival materials, or historical investor/press content — not for new stand-alone campaigns • We will NOT sell your likeness or use it to train AI/ML models without your separate written consent (we'll send you a separate form for that if we ever need it) • De-identified technical uses — like improving video compression or internal search — do not require separate consent • If we've already posted your video on a third-party platform (like Instagram), we can't always take it down — even if you leave the study Legal language: Asker grants AngelMe a non-exclusive, royalty-free, worldwide license to use, reproduce, edit, and display submitted video content for two (2) years from submission for platform operation, marketing, research, and investor demonstrations. After the 2-year term, AngelMe retains a perpetual, non-exclusive license of submitted video content solely for archival, historical, and compiled (highlight reel) use. AngelMe does not acquire ownership of submitted video content. AngelMe will not use Asker likeness to train AI/ML models without separate written consent. De-identified technical processing (e.g., compression, internal search optimization) is not subject to this restriction. 5. 💸 Your Payment Info (Venmo, CashApp, Zelle) The short version: We never touch the money. Angels send it directly to you through whatever app you list. Make sure the account is yours and actually works. Crypto wallets are not accepted. 🔒 We do NOT handle money: AngelMe never holds, sends, or guarantees any payments. All transactions go directly from Angels to you via the payment app you provide. • Accepted payment apps: Venmo, CashApp, Zelle • Cryptocurrency wallets (e.g., Stablecoin, Bitcoin, Ethereum, PayPal crypto) are NOT yet accepted • The account you list must be yours (or your guardian's, if you're under 18) • It must be active and in good standing • Don't give someone else's payment info without their permission • If money gets sent to the wrong handle, that's on you — not us Legal language: Accepted payment handles are limited to Venmo, CashApp, and Zelle. Cryptocurrency wallets are expressly excluded. By providing a payment handle, Asker represents they are the legal owner of the account. AngelMe bears no liability for funds in any circumstances, including if sent to incorrect or fraudulent payment handles. 6. 📋 Campaign Rules The short version: You can only ask for up to $2000. One campaign at a time. There's no guarantee anyone will give you anything. Once a month (or when you close), email us how much you've received — it helps our research. • $2000 maximum per campaign — once you hit it, take down your link • Campaigns expire after 1 year — same deal, take it down • Only ONE active campaign at a time • Share your link yourself — we don't promote it for you • Email emailangelme@gmail.com to close your campaign when you're done • Once a month while your campaign is active, email us your approximate total received — even if it's $0. Subject line: "Campaign Update – [Your Name]" • Your campaign page is designed by the AngelMe team — you won't be able to rearrange or modify the layout yourself. We genuinely welcome your feedback, but our design team has final say on how it looks. 📢 Heads up: Because we don't process payments, we have no way to see how much money you've received in response to your campaign. You are solely responsible for keeping an honest, running tally of all funds received through your AngelMe campaign — including payments you receive after sharing your link on your own social media or anywhere else. Monthly check-ins are how we trust you're honoring the cap. There is NO guarantee you'll receive any money. Angels decide on their own whether to donate. Legal language: Asker agrees not to solicit more than $2000 USD per campaign. Asker is solely responsible for tracking contributions and closing their campaign at the $2000 cap or after one (1) year. Only one active campaign is permitted at a time. Asker agrees to submit a monthly self-report of total funds received to emailangelme@gmail.com while their campaign is active. Campaign page design, layout, and visual configuration are the sole province of AngelMe's design team. AngelMe reserves the right to modify or rearrange campaign pages at its discretion. Because AngelMe does not operate as a payment processor and has no visibility into peer-to-peer transactions, AngelMe cannot independently verify, monitor, or enforce the $2000 cap. Asker is solely and exclusively responsible for tracking all funds received as a direct or indirect result of their AngelMe campaign, regardless of the platform or channel through which payment was received. Asker agrees that knowingly accepting contributions beyond $2000 USD constitutes a material breach of this Agreement. 7. 🧾 Taxes The short version: If people send you money, you might owe taxes on it. That's between you and the IRS — not our department. Talk to a tax professional if you're unsure. Legal language: Asker is solely responsible for reporting and paying all applicable taxes on funds received. AngelMe does not provide tax advice or documentation. 8. 🤝 Your Promises to Us The short version: By signing, you're confirming that everything you've told us is true, you're allowed to participate, and you're not running any kind of scam. • Everything on your form is accurate and honest • You have the right to sign this agreement • Your video content is yours to share • You're not under investigation for fraud or running a scheme Legal language: Asker represents and warrants that all information provided is true and complete; that Asker has authority to enter this Agreement; that submitted content does not infringe third-party rights; and that Asker’s campaign is not part of any fraudulent scheme. 9. ⚖️ Our Liability (Spoiler: It's Very Limited) The short version: We built this platform in good faith, but we can't be held responsible if things go sideways — like if an Angel doesn't pay, a payment app has issues, or something breaks on our platform. Our total liability to you is capped at $1.00. In no event are we liable for any other damages. • The platform is provided "as is" — no guarantees it'll work perfectly • We're not responsible for anything that happens between you and an Angel • Max we could ever owe you: $1.00 Legal language: THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES. ANGELME'S TOTAL LIABILITY SHALL NOT EXCEED $1.00 IN ALL EVENTS. ANGELME IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. 10. 🛡️ If We Get Sued Because of You The short version: If someone sues AngelMe because of something you did (lied on your form, posted illegal content, scammed an Angel), you agree to cover our legal costs. Legal language: Asker agrees to indemnify, defend, and hold harmless AngelMe and its members, managers, and employees from any claims, damages, and costs (including attorneys' fees) arising from Asker's breach of this Agreement, submitted content, or violation of applicable law. 11. 🔐 Your Privacy & Data The short version: We collect your name, email, phone, payment handle, video, and how you use the site. We use it to run the platform and do research. We don't sell it to data brokers. You can ask us to delete it anytime. • We collect: name, email, phone, payment handle, video, usage data • We use it to: run the platform, do research, verify your identity, market the product • We DON'T sell your data to third-party brokers • We may share it with: our service providers, investors/partners (for demos), and when required by law • We use platforms like Tally, Google Sheets, and Carrd — no system is 100% hack-proof • You can request deletion anytime: emailangelme@gmail.com 🗑️ Deletion limits: Videos already published may not be fully removable from third-party platforms. Aggregated research data (with your info removed) may be kept. Legal language: AngelMe collects personal identifiers, payment handles, video content, and behavioral data. Data is used for platform operation, research, and marketing. AngelMe will not sell data to third-party brokers. Askers may request deletion subject to the limitations in this section. 12. 🚪 Leaving the Study The short version: You can quit anytime — just email us. We'll take down your campaign page. Your data gets deleted if you ask. But videos already out in the wild may stay up for the rest of the license period. • Email emailangelme@gmail.com to withdraw • Your campaign page comes down ASAP • We delete your personal data on request (with some limits — see Section 11) • Videos already shared may stay up under the license terms in Section 4 We can also remove you at any time if you break the rules or if we can't verify who you are. Legal language: AngelMe reserves the right to terminate participation immediately for breach of Agreement, fraud, inability to verify identity, or at AngelMe's sole discretion. Published videos remain subject to the license in Section 4. 13. 📝 We Might Update These Terms The short version: If we change anything major, we'll email you. If you keep participating after that, it means you agree. If you don't like the new terms, you can leave (Section 12). Legal language: AngelMe reserves the right to modify these Terms at any time. An Asker’s continued participation after changes are effective constitutes acceptance. Videos already published remain subject to original license terms. 14. ⚖️ Disputes & Arbitration The short version: If you and AngelMe ever have a legal dispute, it goes to magistrate (small claims) court in Fulton County, Georgia- quick, simple, no lawyers required. You can't join a class-action lawsuit against us. Our maximum liability is $1.00. • All disputes resolved through magistrate court in Fulton County, Georgia • No jury trials • No class action lawsuits • Either party can seek emergency court relief if needed to prevent serious harm • If you bring a claim found to be frivolous or in bad faith, you cover our filing costs and attorneys' fees Legal language: All disputes shall be resolved in the Small Claims division of the Magistrate Court of Fulton County, Georgia. Askers waive the right to jury trial and class action participation. Either party may seek emergency injunctive relief from a court of competent jurisdiction. If the court determines a claim brought by Asker was frivolous or in bad faith, Asker shall be responsible for all filing costs and AngelMe's reasonable attorneys' fees. Each party otherwise bears their own legal costs for good-faith disputes. 15. 🏛️ Georgia Law Applies The short version: Georgia law governs this Agreement. If anything ever goes to court (and isn't arbitrated), it'll be in Fulton County, Georgia. Legal language: This Agreement is governed by the laws of the State of Georgia. Non-arbitrated disputes shall be resolved in the state or federal courts of Fulton County, Georgia. 16. 🔧 If Part of This Agreement Is Invalid The short version: If a court says one part of this agreement can't be enforced, the rest of it still stands. Legal language: If any provision is found invalid or unenforceable, it shall be modified to the minimum necessary extent or severed. Remaining provisions remain in full force. 17. 📄 This Is the Whole Agreement The short version: This document is the full deal between you and AngelMe. No verbal agreements, DMs, or promises outside this form count unless they're in writing and signed by AngelMe. Legal language: This Agreement constitutes the entire agreement between AngelMe and Asker and supersedes all prior understandings. No waiver is effective unless in writing signed by AngelMe. 18. 👨‍👩‍👧 If You're Under 18 The short version: A parent or legal guardian must sign too. By signing, they're agreeing to everything in this document on your behalf and taking responsibility alongside you. • Guardian must be your legal parent or guardian • Guardian takes on all the same obligations you do under this agreement • The payment account must be owned/controlled by the guardian Legal language: If Asker is a minor, a parent or legal guardian must sign. Guardian is jointly and severally bound by all obligations in this Agreement, including indemnification and the video license. AngelMe (Angel Fund, LLC) built angelme.app as a platform where Askers post short videos about a real need, and Angels like you can choose to send money directly to them — through your own Venmo, CashApp, or Zelle. We never touch the money. We are not a charity, bank, nonprofit, syndicator or fundraising platform. This is Phase 0 research, meaning we're early and learning. AngelMe never receives, holds, or transmits funds on behalf of any party. 2. ✅ Who Can Be an Angel The short version: You need to be 18 or older and a U.S. resident. You're giving voluntarily — no one at AngelMe solicits, pressures, or contacts you to give. Don't give more than you can comfortably afford to part with permanently, because all gifts are final. • 18 years of age or older • A U.S. resident • Giving entirely of your own free will — AngelMe does not solicit donations • Using a payment app account that is legally yours AngelMe reserves the right to restrict access to any user at any time for any reason. Legal language: Angels must be 18 years of age or older and U.S. residents. Participation is entirely voluntary. AngelMe does not solicit donations and is not a charitable solicitor under any applicable state law. AngelMe reserves the right to restrict or terminate access of any Angel or Asker at its sole discretion. 3. 💸 How Giving Works The short version: When you decide to help an Asker, you send money directly from your Venmo, CashApp, or Zelle to theirs. AngelMe is not involved in the transaction at all — we don't see it, process it, hold it, or confirm it. 🔒 We do NOT handle money: AngelMe never holds, sends, receives, or processes any funds. All transactions go directly from you to the Asker via the payment app you choose. • Accepted payment apps: Venmo, CashApp, Zelle • Cryptocurrency is NOT accepted or supported • You initiate the payment entirely on your own — AngelMe has no role in the transaction • There is no minimum gift amount — Askers are capped at receiving $2000 per campaign Legal language: All peer-to-peer transactions are initiated and completed solely by Angels via third-party payment applications. AngelMe does not process, hold, or transmit any funds on behalf of any party. Cryptocurrency transactions are expressly excluded. 4. 🚫 No Refunds & No Guarantees The short version: Once you hit "send" on Venmo, CashApp, or Zelle, the money is gone. AngelMe can't get it back for you. We also can't guarantee an Asker will use the money exactly how they said they would — you're trusting them, and that's a choice only you can make. • All gifts are final and non-refundable once sent • AngelMe cannot reverse, recover, or mediate payment disputes • AngelMe does not verify how Askers use the funds they receive • If you believe an Asker committed fraud, contact your payment app and local authorities — AngelMe cannot act as an enforcement body 💡 Good to know: Askers sign a legal agreement promising their need is real. But we're a research platform, not a verification service. Give only what you're truly comfortable giving with no expectation of return. Legal language: All transactions are final and non-refundable. AngelMe does not guarantee that funds will be used for any stated purpose. Angels assume all risk regarding the recipient's use of funds. AngelMe is not responsible for Asker misrepresentation and cannot mediate payment disputes. 5. 📋 What Askers Have Agreed To The short version: Before anyone can post a campaign on AngelMe, they have to sign their own legal agreement. It's not a guarantee of honesty — but it means Askers have made real, binding legal promises to us about being truthful. • Askers must submit to identity verification • Askers certify their stated need is real and current • Askers agree to a $2000 cap per campaign and are solely responsible for self-reporting compliance — AngelMe cannot independently monitor receipts • Askers agree not to commit fraud, harassment, or manipulation • Askers who violate their agreement will be removed from the platform That said, AngelMe cannot monitor every transaction or guarantee every Asker is being truthful. Please give thoughtfully. Legal language: All Askers have executed a separate Participant Agreement with AngelMe, including representations of truthfulness, identity verification consent, and a $2000 campaign cap. Askers are solely responsible for self-reporting funds received, as AngelMe does not operate as a payment processor and cannot independently monitor or verify receipts. AngelMe makes no warranty regarding Asker compliance and cannot guarantee the accuracy of any Asker's stated need. 6. 🔐 Your Privacy & Data The short version: We don't sell your data. When you visit a campaign page, we collect basic usage data — things like which pages you viewed and how long you spent on them. This is only for our research study. We are NOT tracking you across the web, following you to other websites, or building an advertising profile on you. Because you pay through Venmo, CashApp, or Zelle directly, we never see your bank account, credit card, or payment credentials. • We collect: on-site behavioral data only (page views, clicks, time on page) • We do NOT track you across other websites or apps • We do NOT collect or store your financial or payment information • We do NOT sell your data to third-party brokers or advertisers • We use industry-standard platforms (Tally, Google Sheets, Carrd) — no system is 100% secure • You can request data deletion at any time: emailangelme@gmail.com Legal language: AngelMe collects on-site behavioral and usage data solely for research purposes. Data deletion may be requested at any time, subject to limitations of aggregated research datasets. 7. 🧾 Tax Info — Read This The short version: AngelMe is NOT a nonprofit or 501(c)(3) charity. That means your gifts are NOT tax-deductible. Do not try to write them off on your taxes — the IRS will not accept it, and AngelMe will not provide any documentation suggesting otherwise. Think of it like giving cash to a friend who needs help, not a donation to a charity. 🚨 Not tax-deductible: Gifts made through AngelMe cannot be claimed as charitable deductions on your federal or state tax return. AngelMe is a private company, not a registered nonprofit. • AngelMe is a private LLC — not a 501(c)(3) nonprofit • Your gifts are NOT tax-deductible • AngelMe will not issue donation receipts or tax documentation • Consult a tax professional if you have questions about your own tax situation Legal language: Angel Fund, LLC, operating as AngelMe, is a limited liability company and is not recognized as a charitable or tax-exempt organization under Section 501(c)(3) or any other section of the Internal Revenue Code. Angels are solely responsible for their own tax obligations. 8. 🚫 Don't Misuse the Platform The short version: The payment handles on campaign pages exist for one reason: so you can send a gift. Don't use them to harass, stalk, or spam Askers. Don't try to hack the site or manipulate campaigns. If you do any of this, we'll ban you — and may report it to the authorities. • Don't use payment handles or contact info to harass, stalk, or spam Askers • Don't attempt to access, scrape, or interfere with the platform • Don't impersonate AngelMe or any Asker • Don't use the platform for any unlawful purpose Legal language: Angels are prohibited from using Asker contact information or payment handles for any purpose other than the intended voluntary peer-to-peer gift. Harassment, unauthorized data collection, impersonation, and unlawful use are strictly prohibited. AngelMe reserves the right to terminate access and report violations to appropriate authorities at its sole discretion. 9. ⚖️ Our Liability is Very Limited The short version: We're a small research team providing this platform for free. If something goes wrong — an Asker misuses funds, a payment app has an outage, or anything else — AngelMe's total responsibility to you is capped at $1.00. If that's not okay with you, please don't use the platform. • The platform is provided "as is" — no guarantees it will work perfectly • AngelMe is not responsible for payment app failures, outages, or errors • AngelMe is not responsible if an Asker misrepresents their need • Maximum AngelMe could ever owe you, for any reason: $1.00 LIMITATION OF LIABILITY — PLEASE READ: THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ANGELME'S TOTAL AGGREGATE LIABILITY TO ANY ANGEL FOR ANY AND ALL CLAIMS SHALL NOT EXCEED $1.00 USD. ANGELME IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSSES ARISING FROM THIRD-PARTY PAYMENT APP FAILURES OR ASKER MISREPRESENTATION. THIS LIMITATION IS CONSPICUOUSLY DISCLOSED AS REQUIRED UNDER APPLICABLE LAW. Legal language: The above limitation of liability is intentionally conspicuous and displayed in bold, all-caps text to satisfy judicial enforceability standards under Georgia law and the Uniform Commercial Code. 10. 🛡️ If We Get Sued Because of You The short version: If your actions on the platform cause legal trouble for AngelMe — like harassing an Asker or misusing someone's payment info — you agree to cover our legal costs. Legal language: Angel agrees to indemnify, defend, and hold harmless AngelMe and its members, managers, and employees from any claims, damages, losses, and costs (including attorneys' fees) arising from Angel's breach of this Agreement, misuse of the platform, or violation of applicable law. 11. 🏛️ Disputes & Governing Law The short version: Georgia law applies. Continued use of the platform after changes are posted constitutes acceptance of the updated terms. 13. 📄 This Is the Whole Agreement The short version: This document is the full deal between you and AngelMe as an Angel. No side deals, verbal promises, or DMs count unless AngelMe puts them in writing. Legal language: This Agreement constitutes the entire agreement between AngelMe and the Angel regarding use of the platform as a donor. No waiver of any provision is effective unless in writing signed by AngelMe.
