The Universal Legal Terms

1. Purpose of the Engagement
Vertex Nexus LLC ("Company") provides structured career support, job search guidance, and placement assistance to professionals seeking employment. The Company operates on a performance-based model where fees apply only after successful placement.
This Agreement is not an employment contract and does not guarantee job placement, compensation level, job title, visa sponsorship, or employment duration.
This Agreement supersedes and replaces all prior versions, drafts, or discussions relating to the subject matter contained herein.
2. Scope of Services
The Company may provide services including career assessment, ATS optimized resume and LinkedIn profile development, personalized job search strategy, profile marketing to recruiters and employers, interview preparation, interview coordination, offer review, onboarding guidance, and post placement advisory support.
All services are advisory in nature and depend on market conditions and the Candidate's participation.
3. Candidate Choice and Participation
The Candidate retains full discretion to accept or decline any interview or employment offer.
Successful outcomes depend on the Candidate's cooperation, responsiveness, and interview performance.
4. Definition of Successful Placement
A Successful Placement is defined as the Candidate accepting and commencing paid employment, whether full-time, part-time, or contract, resulting directly or indirectly from the Company's services, referrals, profile marketing, or recruiter coordination.
5. Candidate Obligations -
The Candidate agrees to provide accurate information, participate actively in the process, and notify the Company within seven (7) days of accepting employment or any change in employment status.
Failure to disclose employment obtained through the Company's introductions or marketing efforts will be considered a breach of this Agreement.
6. Confidentiality and Non-Circumvention -
The Candidate agrees not to bypass, directly contact, or independently engage employers or recruiter contacts introduced by the Company for the purpose of avoiding payment of applicable fees.
All proprietary materials, strategies, employer contacts, and communications shared by the Company must remain confidential.
7. Verification of Employment
The Candidate authorizes the Company to verify employment status, compensation details, and start dates with employers when necessary to confirm placement and calculate applicable fees.
8. Limitation of Liability
The Company provides advisory services only. The Company shall not be responsible for employment decisions made by employers, workplace conditions, termination of employment, compensation changes, or immigration related matters.
The Candidate acknowledges that final hiring decisions are made solely by employers.
9. Governing Law and Amendments
This Agreement shall be governed by the laws of the State of Florida, United States.
Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
10. Success-Based Fee and Payment Terms

The Candidate agrees to pay a total Retainer Fee of USD 800 in full upon signing this Agreement for Elite Marketing Support services.

Upon Successful Placement, the Candidate agrees to pay a Success Fee equal to twelve percent (12%) of the first-year gross annual salary, calculated based on the offer letter or employment contract.

The Candidate may pay the Success Fee in up to four (4) installments, in accordance with a mutually agreed payment schedule. The entire Success Fee must be paid in full as per the agreed installment plan.

11. Late Payments and Default
A late fee of USD 180 applies to each missed installment.
Outstanding balances will accrue interest at 11 percent per annum.
Failure to pay may result in acceleration of the remaining balance and recovery action, including reasonable legal or collection costs.
12. Employment Changes or Interruption
If employment ends before full payment is completed, the remaining installments remain payable based on income from subsequent employment obtained within twelve (12) months of placement.
Payment timelines may be adjusted in good faith if circumstances require it.
In the event of the Candidate's death, all outstanding obligations will be waived.
