Mentor–Client Agreement
This Mentor–Client Agreement ("Agreement") is entered into between Cuozzo Health LLC, dba Cuozzo Health Practitioner Mentorship ("Mentor") and the undersigned participant ("Client").
By purchasing mentorship services, the Client acknowledges that they have read, understood, and agree to all terms contained in this Agreement.
1. Purpose of the Mentorship
The purpose of this mentorship is to provide educational guidance, professional development, career support, clinical reasoning discussions, leadership development, business insights, professional mentorship, and guidance on whole food nutrition and herbal support based upon the Mentor's education and experience. This mentorship is intended solely for educational and informational purposes on the basis of providing guidance.
2. Nature of the Relationship
The Client understands and agrees that:
• This relationship is one of mentorship and education only.
• This mentorship is not supervision, employment, consulting, legal representation, psychotherapy, counseling, or medical care.
• The Mentor is not functioning as a business advisor, accountant, or financial advisor.
• The Mentor does not make clinical decisions for the Client.
• The Client remains solely responsible for all professional, clinical, legal, ethical, licensing, employment, and business decisions.
The Client agrees that they are solely responsible for the care they provide to their own patients, clients, or customers.
3. No Legal Advice
The Mentor is not an attorney and does not provide legal advice. Any discussion regarding laws, regulations, documentation, contracts, scope of practice, business formation, employment matters, compliance, or risk management is provided for educational discussion only and should never be considered legal advice. The Client agrees to consult a licensed attorney for legal questions.
4. No Medical Advice
Unless otherwise agreed in writing under a separate clinical relationship, mentorship services are not medical care and do not establish a patient-provider relationship. No diagnosis, treatment recommendations, prescribing, or medical management is provided through mentorship.
5. No Guarantees
The Client understands that results cannot be guaranteed. Success depends upon numerous factors outside the Mentor's control, individual outcomes vary, and no guarantees or warranties have been made regarding employment, income, business success, certification, patient outcomes, career advancement, or professional achievement. Any examples, stories, experiences, or opinions shared during mentorship are for educational purposes only.
6. Professional Responsibility
The Client remains solely responsible for clinical decisions, patient care, documentation, prescribing decisions, scope of practice, licensing requirements, compliance with employer policies, compliance with state and federal laws, maintaining appropriate malpractice insurance, and obtaining appropriate supervision or consultation when necessary. The Mentor does not supervise the Client's clinical practice.
7. Limitation of Liability
The Client agrees that the Mentor shall not be responsible or liable for clinical outcomes, patient outcomes, medical errors, malpractice claims, licensing board actions, employment actions, disciplinary actions, financial losses, business losses, lost income, legal claims, indirect, incidental, consequential, or punitive damages, or decisions made by the Client before, during, or after mentorship. The Client accepts full responsibility for implementing—or choosing not to implement—any educational concepts discussed during mentorship.
8. Confidentiality
The Mentor agrees to maintain confidentiality regarding personal and professional information shared during mentorship except when disclosure is required by law. The Client agrees not to disclose proprietary educational materials, worksheets, presentations, recordings, templates, or mentorship resources without written permission.
9. Intellectual Property
All mentorship materials remain the intellectual property of Cuozzo Health Practitioner Mentorship. Materials may not be copied, reproduced, shared, distributed, recorded, sold, or taught without prior written permission.
10. Payment Policy
Payment in full is required in advance to reserve all mentorship sessions. Appointments are not considered confirmed until payment has been received.
11. Cancellation Policy
A minimum of 48 hours' notice is required to cancel or reschedule an individual mentorship session. Cancellations made with less than 48 hours' notice, missed appointments, or failure to attend a scheduled session for any reason will result in forfeiture of that session. No credits will be issued. Monthly sessions may not be rolled over into subsequent months. No exceptions.
12. Refund Policy
All mentorship fees are non-refundable. There are no refunds, no transfers, no exchanges, no credits, and no substitutions. No exceptions. This policy applies regardless of scheduling conflicts, employment changes, illness, travel, technology issues, or other unforeseen circumstances.
13. Technology
The Client is responsible for maintaining adequate internet access, computer equipment, camera, microphone, and a private environment for virtual meetings.
14. Recording
Recording sessions is prohibited unless both parties provide prior written consent.
15. Professional Conduct
The Mentor reserves the right to terminate mentorship immediately without refund if the Client engages in abusive behavior, harassment, discrimination, threatening conduct, inappropriate communication, unethical conduct, or requests outside the scope of mentorship.
16. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior verbal or written discussions. Any modifications must be made in writing.
17. Governing Law
This Agreement shall be governed by the laws of the State of Connecticut.
