Serenity Spa & Beauty Bar LLC Membership Agreement

Additional Membership Benefits:

The selected membership details, together with the terms below, constitute the agreement between the Member and Serenity Spa & Beauty Bar LLC ("Serenity" or "the Spa"). The Member agrees to the fees, term, benefits, payment schedule, and applicable policies disclosed in the selected plan.

This is a service-based membership that provides the specific treatments, service credits, discounts, and other benefits identified in the selected membership plan.

Membership does not provide unlimited or unrestricted access to the Spa, treatment rooms, relaxation lounge, sauna, or other facilities. Services must be scheduled in advance and are subject to appointment availability, service eligibility, and applicable booking policies.

Walk-in availability is not guaranteed. Membership does not entitle the Member to use Spa facilities outside a scheduled appointment or outside any specifically authorized service.

Access to the Serene Suite or any separate wellness facility membership is excluded unless expressly provided under a separate written agreement.

The Member agrees to the contract term, monthly membership fee, billing date, and payment obligations identified in the selected plan.

Payments will be processed using the payment method authorized by the Member. The Member is responsible for maintaining a valid payment method and ensuring scheduled payments can be processed.

The fixed-term membership remains in effect for the selected contract term, subject to applicable cancellation rights and other termination rights provided by law.

Completing the final scheduled payment fulfills the scheduled payment obligation for that term, subject to any other valid outstanding amounts.

Expiration and renewal are governed by the terms disclosed at enrollment. Any renewal charges must comply with the disclosed renewal arrangement and applicable law.

The Member is entitled to the monthly service or service credit identified in the selected membership plan.

All services must be booked in advance and are subject to availability. Services not expressly included in the selected plan, including additional treatments, upgrades, products, and other purchases, will be charged separately at the applicable disclosed price.

Membership benefits are personal to the Member unless a transfer is expressly permitted under the Spa's credit policy.

The Spa does not guarantee a particular appointment time, provider, or service availability unless specifically confirmed in writing.

Membership discounts apply only to the services, products, events, or other benefits identified in the selected plan or expressly authorized by the Spa.

Discounts may not be combined with other promotions unless permitted by the Spa.

Any birthday benefit, promotional offer, or additional member privilege is subject to its disclosed eligibility requirements and redemption period.

Benefits may not be exchanged for cash unless required by law or expressly agreed in writing.

Eligible unused membership credits may roll over during the active contract term in accordance with the selected plan.

Unless otherwise required by law or approved in writing by an authorized Spa representative, eligible unused credits must be redeemed within thirty (30) calendar days after the membership expiration date.

Credits are subject to applicable service restrictions, appointment availability, and booking policies. Credits may not be exchanged for cash.

Where permitted by the Spa's credit policy, a credit may be transferred to another individual for a $10 transfer fee per credit.

Any credits remaining upon expiration, cancellation, or early termination will be handled in accordance with this agreement and applicable law.

All appointments are subject to the Spa's applicable cancellation, rescheduling, late-arrival, no-show, and booking-fee policies.

Applicable charges and booking requirements will be disclosed before the Member books the relevant service.

A missed appointment or late cancellation may result in the loss of an applicable service credit or a disclosed charge, where permitted by the applicable policy and law.

The Member is responsible for contacting the Spa through its designated communication channels to request appointment changes or resolve booking issues.

Membership payments must be submitted in full by the scheduled due date. The Member is responsible for maintaining a valid payment method and ensuring scheduled payments can be processed.

Late Payment Fee: If a membership payment remains unpaid two (2) calendar days after its due date, a $20 late fee will be assessed, subject to applicable law. The fee applies to the delinquent payment and will not be repeatedly assessed on the same unpaid installment unless expressly permitted by law and disclosed in writing.

Failed Payments and Upcoming Appointments: If an automatic membership payment fails, the Member must submit the outstanding payment by the close of the Spa's business day on the date the Spa communicates the failed payment to the Member.

If payment is not received by the close of that business day, upcoming appointments associated with the membership may be canceled until the outstanding membership payment and any applicable lawful fees have been paid.

The Member is responsible for contacting the Spa to resolve failed payments and arrange replacement appointments. Rescheduling remains subject to availability. Payment of a delinquent balance does not guarantee restoration of a previously canceled appointment or its original time.

Suspension of Membership Benefits: The Spa may temporarily suspend membership benefits while a required payment remains outstanding, to the extent permitted by law and this agreement. Suspension does not automatically terminate the membership or eliminate a valid outstanding payment obligation.

The Member agrees to fulfill the selected fixed-term membership commitment, subject to applicable cancellation rights and other termination rights provided by law.

If the Member requests early termination before completing the selected membership term, a $200 early termination fee will apply, subject to applicable law and any applicable cancellation or refund rights.

Payment Deadline: Any applicable early termination fee must be paid within thirty (30) calendar days of the effective cancellation date. The Spa will provide the Member with written notice of the amount due and instructions for payment.

Unpaid Balances and Collections: If the applicable early termination fee remains unpaid after thirty (30) calendar days from the effective cancellation date, the Spa may refer the outstanding balance to a third-party collection agency or pursue other lawful collection remedies, subject to applicable law and any required notices.

The Member remains responsible only for amounts that are validly owed and legally collectible. Any collection fees or additional costs will be charged only where authorized by the agreement and permitted by law.

All membership cancellation requests must be submitted in writing by email to:

The Member should include their full legal name, membership plan, and a clear statement requesting cancellation.

The Spa will confirm receipt of the request and communicate the effective cancellation date and any applicable remaining obligations.

Verbal requests, telephone calls, text messages, social media messages, or requests made through other channels do not constitute a written cancellation request under this contractual procedure, except where applicable law requires the Spa to accept another cancellation method.

A cancellation request does not automatically waive valid outstanding payment obligations or applicable early termination fees. However, this procedure does not restrict any cancellation right or method required by law.

The membership will expire on the end date identified in the selected plan unless renewed in accordance with the disclosed renewal terms.

At expiration, membership benefits and discounted pricing will end unless a new agreement or valid renewal takes effect.

Any renewal price, renewal term, and cancellation method will be disclosed as required by applicable law. A fixed-term membership will not automatically convert to a new paid term without the required authorization and disclosures.

The Member confirms that the information provided during enrollment is accurate and authorizes payment processing according to the selected membership plan.

Payment credentials will be collected through the Spa's designated secure payment processing system. The Member should not submit a card security code or other sensitive payment credentials through an unsecured form.

The Spa will use Member information as reasonably necessary to administer the membership, process authorized payments, communicate about appointments and account status, and comply with applicable legal obligations.

This agreement shall be governed by and interpreted in accordance with the laws of the State of Rhode Island.

All provisions of this agreement are subject to applicable federal, state, and local laws and regulations.

By enrolling in a membership with Serenity Spa & Beauty Bar LLC, the Member acknowledges and agrees to comply with the Spa's full Terms & Conditions, applicable service policies, and applicable waiver of liability.

The Member acknowledges that these documents may contain important information regarding service eligibility, contraindications, health and safety requirements, appointment policies, cancellations, refunds, and the risks associated with spa treatments and wellness services.

The Member confirms that they have been provided access to these documents, have had the opportunity to review them, and agree to the applicable terms before receiving services.

Where a separate service-specific consent form or waiver is required, the Member agrees to complete and sign that document before the applicable service is performed.

Nothing in this agreement or any waiver of liability releases the Spa from liability that cannot lawfully be waived under applicable law.

By signing below, the Member confirms that they have reviewed the selected membership plan, monthly fee, contract term, included benefits, billing schedule, late-payment policy, early termination policy, appointment suspension policy, and written cancellation procedure.

The Member also acknowledges the Spa's full Terms & Conditions and applicable waiver of liability as described in Section 14.

The Member understands that this membership provides only the services and benefits stated in the selected plan and does not provide unlimited or unrestricted access to Spa facilities.

The Member confirms that they have had an opportunity to review this agreement and agrees to its terms, subject to applicable law.
