Each individually referred to as a “Party” and collectively as the “Parties.”

1. Purpose

The Disclosing Party intends to disclose proprietary information related to a music-tech product and service known as “Anthem Lab” for the purposes of evaluation, partnership, and demonstration.

2. Confidential Information

"Confidential Information" means all non-public, proprietary, or confidential information disclosed by Disclosing Party, including but not limited to: business models, customer experiences, artist designs, AI-generated music, tech processes, sales decks, demo recordings, and marketing strategies.

3. Obligations of Receiving Party

The Receiving Party agrees: - Not to disclose Confidential Information to any third party without written consent; - Not to use the Confidential Information for any purpose other than evaluating the Anthem Lab opportunity; - To take reasonable precautions to protect the confidentiality of such information.

4. Non-Circumvention

Receiving Party agrees not to circumvent, replicate, develop, launch, or offer a similar or competing service or product based on the Confidential Information without written authorization from Anthem Lab.The Receiving Party agrees not to reproduce, reverse-engineer, or replicate the concept, business model, or materials disclosed.

4.1 Independent Development Clause

If the Receiving Party asserts that any similar or identical concepts were developed independently or prior to this Agreement, they must provide contemporaneous, dated evidence proving such development. Without such documentation, all such information shall be deemed derived from the Confidential Information.

5. Term

This Agreement remains in effect for one (1) year from the Effective Date.

6. Return or Destruction

Upon request, Receiving Party will return or destroy all Confidential Information received.

17. No License or Obligation

Nothing in this Agreement grants the Receiving Party any rights to use the Confidential Information except as expressly stated.

8. Injunctive Relief

Disclosing Party shall be entitled to seek injunctive relief in the event of any breach, in addition to any other legal remedies available.

9. Governing Law

This Agreement shall be governed by the laws of the State of California.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
