VendLocus – Operator Requirements

1. About VendLocus
VendLocus provides a business-to-business matching and introduction service connecting vending and automated retail operators with potential locations across the UK. VendLocus does not guarantee that any opportunity will result in an installation, contract or commercial relationship.

2. Operator responsibilities
The Operator confirms that the information supplied to VendLocus is accurate. The Operator remains responsible for its own equipment, insurance, licences, certifications, installations, servicing, contracts and compliance with applicable laws and industry requirements.

3. Opportunities
VendLocus may provide anonymised information about potential locations, including general area, location type, approximate footfall or staff numbers and equipment requirements. VendLocus may withhold the exact business name, address and decision-maker contact details until the Operator confirms interest and accepts the applicable fee for that opportunity.

4. Introduction and success fees
Each opportunity may have a separate introduction or success fee. The amount will be communicated to the Operator before full location details are released. The Operator is not required to accept an opportunity. If the Operator accepts an opportunity and its stated fee, the agreed fee becomes payable if the VendLocus introduction results in an installation, placement, trial, supply agreement, contract or other commercial arrangement with that location.

5. Payment
Unless otherwise agreed for a specific opportunity, VendLocus will issue an invoice when the applicable fee becomes payable. Payment is due within 7 days of the invoice date.

6. Non-circumvention
The Operator agrees not to intentionally bypass VendLocus to avoid an agreed fee. If the Operator, its employees, agents, contractors or associated businesses enter into a commercial arrangement with a location first introduced by VendLocus within 12 months of the introduction, the agreed fee remains payable.

7. Confidentiality
Location information and decision-maker contact details supplied by VendLocus must only be used for evaluating and pursuing the relevant opportunity and must not be sold, published or distributed to unrelated third parties.

8. Updates
The Operator agrees to inform VendLocus if a location accepts or rejects its proposal, a trial or installation is agreed, equipment is installed, a commercial agreement is reached, or the opportunity is no longer being pursued.

9. Role of VendLocus
VendLocus acts as a matching and introduction service only and is not a party to agreements between Operators and locations. VendLocus is not responsible for equipment, installation, servicing, performance or contractual obligations of the Operator.

10. Governing law
These terms are governed by the laws of Scotland and subject to the jurisdiction of the Scottish courts unless applicable law requires otherwise.
