Terms of Engagement

TERMS OF LIMITED SCOPE ENGAGEMENT (NECESSITY REPORT)

Nature of service: You are engaging David Bay (It’s In The Numbers) to provide a “Necessity Report” (a preliminary forensic diagnostic) to help determine whether a formal business valuation is necessary and proportionate for the purpose described in your intake submission. This is a Consulting Expert Service under APES 215. It is not an Expert Witness service.
Not a valuation / no value figure: This is not a valuation engagement or calculation engagement under APES 225 and no dollar value or valuation range will be provided.
Not for Court: This report is not prepared to comply with expert evidence requirements and is for decision-making and negotiation strategy only. It is not intended to be relied upon for any court or tribunal purpose.
Single submission / reliance: The report is prepared using only the information and documents provided in this submission. I do not audit, review or verify the accuracy or completeness of what is provided. I may identify missing information and recommend what should be requested next. I reserve the right to ignore subsequent submissions.
Sharing permission: This report may be provided to your solicitor/mediator and other professional advisers involved in the matter for the limited purpose of informing disclosure requests and next steps. No other reliance is permitted without my prior written consent.
Further work (by email request): Any further assistance after delivery (including review of additional documents) is outside the fixed fee. If requested by email and accepted by me, additional consulting will be charged at $395 + GST per hour, in 6-minute increments, with scope and a budget cap agreed by email before work begins. This does not include a valuation unless separately agreed in writing.
Cloud / technology: Your data is processed and stored using third-party cloud services (including Tally and Google Workspace) and automation tools.
AI: No AI/LLM generates the professional opinion; the final recommendation is formed by a qualified human forensic accountant.
Payment / refund: Payment is required to commence work. Fees are generally non-refundable once review has commenced.
Independence: If a valuation is recommended, you are free to engage any independent valuer.
