1. Definitions 

EcoTip – “EcoTip” refers to Shareful Limited (Company No. 16287425), which operates as a technology platform that digitally connects Customers with independent Suppliers for the provision of non-hazardous waste services only. EcoTip does not handle, transport, store, treat, or dispose of any waste and acts solely as an introducer and booking facilitator.

Supplier – “Supplier” refers to a licensed and insured independent contractor or company using the EcoTip platform to provide non-hazardous waste services to Customers. The Supplier is fully responsible for ensuring that all personnel, vehicles, authorisations, permits, insurance, and environmental compliance are valid and maintained at all times.

Customer – “Customer” refers to any individual or business using the EcoTip platform to request or arrange non-hazardous waste services.

Services – “Services” refers to the collection, removal, clearance, transportation, and delivery of non-hazardous waste only, as booked via the EcoTip platform. Hazardous waste is strictly prohibited, including but not limited to chemical, clinical, biological, toxic, corrosive, explosive, flammable, radioactive, or otherwise regulated materials under applicable legislation.

2. Working Relationship 

2.1 The Supplier is an independent contractor, not an employee, partner, or agent of EcoTip.

2.2 The Supplier must hold and maintain a valid Waste Carrier Licence and any other required licences, authorisations, and insurance to legally carry and dispose of non-hazardous waste only.

2.3 The Supplier is fully responsible for:

• Collection and handling of waste

• Secure transport using legal, roadworthy vehicles

• Safe disposal of waste at a licensed facility of their choice

• Paying all disposal fees

•Obtaining and keeping all disposal receipts / Duty of Care documents

2.4 The Supplier must refuse hazardous waste and inform EcoTip immediately if hazardous material is presented at collection.

2.5 The Supplier must comply with all applicable waste, environmental, and safety regulations required in their operating region.

• All UK waste regulations

• Environmental legislation

• Health & safety standards

• Local authority rules at disposal sites

2.6 The Supplier must treat customers with professionalism and complete jobs:

• On time

• As agreed

• With accurate job updates

2.7 The Supplier accepts full legal responsibility for any breach of law during waste transport or disposal. EcoTip holds no liability for the Supplier’s actions.

2.8 All disposal documentation must be uploaded to EcoTip when requested to verify lawful disposal.

3. Licences and Insurance

3.1 Valid waste transport authorisation required in the Supplier’s operating region (e.g., UK Waste Carrier Licence when operating in the United Kingdom.)

3.2 The Supplier must hold and maintain Public Liability Insurance that covers activities related to the collection, handling, and transport of non-hazardous waste with a level of cover that meets legal and industry standards.

3.3 The Supplier must provide proof of active licences and insurance to EcoTip before accepting jobs and must notify EcoTip immediately of any expiry, suspension, or revocation.

3.4 The Supplier is solely responsible for ensuring vehicles used for collections are:

• Roadworthy

• Legally compliant

• Insured for commercial waste activities

3.5 EcoTip may request and collect copies of licences and insurance documents at any time to verify compliance. Failure to provide valid documentation may result in immediate suspension from the platform.

3.6 EcoTip does not issue licences, provide licensing support, or guarantee legal compliance on behalf of the Supplier. The Supplier is fully responsible for ensuring compliance with all licensing and insurance obligations.

4. Standards of Service

4.1 The Supplier must perform all collections professionally, safely, and without causing damage to property or the environment.

4.2 The Supplier must complete all jobs on time, as booked through the EcoTip platform, and provide updates if any delay occurs.

4.3 The Supplier must maintain clear, respectful communication with both EcoTip and customers at all times — abusive, threatening, or unprofessional behaviour will result in removal from the platform.

4.4 Waste must be securely contained and transported to prevent spills, leaks, or littering during transit.

4.5 The Supplier must not dispose of waste illegally, fly-tip, or breach any waste, environmental, health, or safety legislation. Any breach may result in immediate termination and reporting to authorities.

4.6 The Supplier must ensure correct waste segregation where required, and confirm that only non-hazardous waste is accepted.

4.7 The Supplier must request additional charges (if needed) before starting the job, to ensure price transparency for the customer.

4.8 The Supplier is responsible for providing accurate job completion evidence, including photographs and disposal documents, when requested.

4.9 The Supplier must not represent themselves as an employee or agent of EcoTip under any circumstance.

5. Job Bookings & Platform Use
5.1 Acceptance of Jobs
The Supplier is free to accept or decline any job offered through the EcoTip platform. Once a job is accepted, the Supplier must complete the service as agreed unless prevented by legal, safety, or operational reasons which must be reported to EcoTip immediately.
5.2 Customer Relationship
Customers and Suppliers enter into a direct service relation for the waste services. EcoTip provides the digital platform to facilitate introductions and bookings.
5.3 Communication
All communication regarding job details, delays, issues, or updates must be managed through EcoTip-approved channels, including WhatsApp Business or the platform messaging system once available.
5.4 Job Completion
Jobs must be completed according to the instructions provided by the customer through the platform. Any changes or additional charges must be agreed with the customer before work continues.
5.5 Evidence & Documentation
5.5.1 The Supplier must upload photographic evidence of the waste before collection and after loading where requested by EcoTip.

5.5.2 The Supplier must obtain and retain valid disposal documentation (including Waste Transfer Notes and disposal receipts) for every job and submit copies to EcoTip upon request.

5.5.3 Failure to provide sufficient evidence of legal disposal may result in withheld payment, customer dispute charges, or suspension from the platform.

5.5.4 Evidence must be accurate, honest, and timestamped. Any attempt to falsify evidence will result in permanent removal and may be reported to authorities.

5.6 Illegal or Unprofessional Conduct

Any illegal disposal, customer abuse, fraud, or other misconduct may result in immediate removal from the platform and may be reported to the relevant authorities.

5.7 Cancellation of Jobs

If the Supplier must cancel after accepting a job, they must notify EcoTip immediately so alternative arrangements can be made. Repeated cancellations may result in suspension.

5.8 Platform Access

EcoTip may temporarily or permanently suspend platform access if the Supplier:

• fails to comply with this Agreement

• causes reputational or legal risk

• receives multiple serious complaints

5.9 Data & Privacy
The Supplier must protect all personal information received through EcoTip and comply with UK data protection laws. Customer information must be used only for completing the booked job.
5.10 Payment
EcoTip processes all customer payments. The Supplier will be paid their agreed share after valid completion evidence is submitted and disposal compliance is confirmed. EcoTip reserves the right to withhold payment if disposal is not legally verified.
5.11 Payment Breakdown
EcoTip will release payment to the Supplier only after:

a) EcoTip has received full cleared funds from the customer

b) The job has been completed and all required evidence submitted and approved

c) Any disposal requirements have been satisfied and receipts provided (where applicable)

Payments are made via electronic transfer (e.g. Revolut Business or equivalent).

The Supplier understands that EcoTip cannot release payment until the customer’s payment has fully cleared and any disputes or verification checks are resolved.

EcoTip is not liable for any delays caused by:

– customer non-payment or late payment

– banks or payment providers

– evidence or documentation not being provided on time

– job disputes or regulatory verification checks

5.12 Response Time & Availability

Suppliers must respond to job offers sent by EcoTip within 15 minutes by either accepting or declining the job. Where EcoTip contacts a Supplier about an active job (for example, to clarify details or confirm arrival), the Supplier must make reasonable efforts to reply within 15 minutes during the agreed job window.

Repeated failure to respond to job offers or active job messages within this timeframe may result in fewer job offers being shown to the Supplier or temporary suspension of their access to the EcoTip platform.

6. Pricing, Quotes & Re-Quote Procedure

6.1 EcoTip may obtain one or more quotes from Suppliers before assigning a job.

6.2 Suppliers may receive quote requests without receiving the final job assignment. EcoTip may compare multiple quotes and select the most suitable option based on pricing, availability, service requirements, customer preferences, operational requirements, and other relevant factors.

6.3 Suppliers must provide accurate quotations based on the information supplied by EcoTip and notify EcoTip immediately if additional information is required before quoting.

6.4 Quotations provided by Suppliers should include, where applicable:

Pricing

• Availability

• Payment Terms

• Cancellation Terms

• Refund Conditions

• Attendance or Call-Out Fees

• Any other material service conditions

6.5 Re-Quote Procedure

Where a job materially differs from the information, photographs, quantity, access conditions, waste type, collection requirements, or other details originally provided, the Supplier must immediately notify EcoTip before work proceeds.

6.6 EcoTip will review the discrepancy and determine whether:

The original quote remains valid; or

• A revised quote is required.

6.7 Where a revised quote is required, the Supplier must provide:

• Updated pricing

• Updated availability (if affected)

• Any attendance or call-out fees

• Any cancellation implications

• Any refund implications

6.8 EcoTip will communicate any revised terms to the Customer before further work proceeds.

6.9 No material work may commence until EcoTip has confirmed how the job will proceed.

6.10 Suppliers must provide disposal receipts, waste transfer documentation, completion evidence, compliance documentation, or other evidence reasonably required for the job.

6.11 Failure to provide required evidence may result in delayed payment, withheld payment, suspension, or removal from the platform.

7. Payments

7.1 All customer payments are processed through EcoTip unless otherwise agreed in writing.

7.2 Payment arrangements may vary depending on:

• Supplier requirements

• Customer requirements

• Job type

• Selected quote option

• Operational requirements

7.3 Payment structures may include:

• Booking Fee + Remaining Balance

• Deposit Payments

• Full Upfront Payments

• Staged Payments

• Invoice-Based Payments

• Account-Based Arrangements

• Other agreed payment arrangements

7.4 All payment requirements will be clearly communicated to the Customer before booking confirmation.

7.5 EcoTip will notify the Supplier when a quote has been accepted and any required customer payment has been received for commencement.

7.6 EcoTip does not advance its own funds to Suppliers.

7.7 Any Supplier payment made by EcoTip must be funded from customer monies received by EcoTip unless otherwise agreed in writing.

7.8 EcoTip may withhold payment where required evidence, disposal documentation, compliance documentation, or other required information has not been provided.

7.9 EcoTip may withhold, adjust, or delay payment where there is an active customer dispute, investigation, compliance concern, service failure, or unresolved contractual issue.

7.10 Suppliers must not invoice, bill, or receive payment directly from customers unless expressly authorised by EcoTip in writing.

7.11 Suppliers are responsible for ensuring all payment details, invoicing information, and bank details remain accurate and up to date.

7.12 EcoTip may deduct:

• Platform commission

• Agreed operational charges

• Outstanding amounts owed to EcoTip

• Costs arising from breaches of this Agreement

7.13 Suppliers remain responsible for their own tax, accounting, regulatory, licensing, and business compliance obligations.

8. Liability & Indemnity

8.1 Supplier Responsibility

The Supplier is solely responsible for the collection, transport, handling, and legal non-hazardous disposal of waste materials. The Supplier must comply with all relevant waste laws, licences, environmental regulations, and safety standards at all times.

8.2 No Employment or Agency

The Supplier operates as an independent business. Nothing in this Agreement creates an employment, partnership, or agency relationship between EcoTip and the Supplier.

8.3 Indemnity

The Supplier agrees to indemnify and hold EcoTip harmless from all claims, enforcement actions, penalties, fines, losses, damages, property damage, or personal injury arising from the Supplier’s actions, omissions, or breach of this Agreement.

8.4 Customer Property & Service Issues

All claims relating to loss, damage, injury, or incomplete service are the full responsibility of the Supplier. EcoTip may suspend payments until a resolution is confirmed.

8.5 Regulatory & Legal Investigations

If any authority investigates a job, the Supplier is responsible for providing evidence and cooperating fully. EcoTip may restrict payouts or access during any investigation relating to the Supplier.

8.6 Insurance

The Supplier must hold and maintain sufficient insurance coverage for all jobs undertaken through EcoTip. EcoTip accepts no liability for any insurance claims or associated costs.

9. Data Protection & Confidentiality

9.1 Data Protection Compliance

The Supplier must comply with all applicable data protection laws, including the UK GDPR and Data Protection Act 2018, when handling customer information.

9.2 Use of Customer Data

Customer information received through the EcoTip platform must be used only for completing the booked service. The Supplier must not store, share, or use customer information for any other purpose.

9.3 Customer Confidentiality

The Supplier must keep all customer data, job details, property information, and personal information confidential and secure at all times.

9.4 Business Confidentiality

The Supplier must not disclose or misuse any EcoTip business information including pricing, commission structure, processes, or relationships with customers or partners.

9.5 Data Security

The Supplier is fully responsible for ensuring their devices, apps, emails, and messaging tools used for EcoTip jobs are secure and protected from unauthorised access.

9.6 Prohibition on Direct Contact After Job

The Supplier must not contact or solicit customers outside the EcoTip platform, including after job completion or account termination.

9.7 Breach of Data Rules
Any breach of this section may result in:
• Immediate removal from the EcoTip platform
• Legal action
• Reporting to authorities
• Payouts being withheld
10. Account Suspension and Termination

10.1 Suspension Rights
EcoTip may suspend or restrict the Supplier’s access to the platform at any time if there are concerns regarding:
• Customer safety or complaints
• Legal compliance
• Missing evidence or improper waste disposal
• Data protection breaches
• Attempts to bypass the EcoTip platform
• Fraudulent activity or risk to EcoTip’s reputation

10.2 Immediate Termination

EcoTip may terminate the Supplier’s account immediately and without notice if the Supplier:

• Accepts or requests direct payment from customers

• Engages in illegal waste handling (including fly-tipping)

• Fails to cooperate with investigations

• Repeatedly breaches this Agreement

• Damages EcoTip’s brand or customer relationships

10.3 Supplier Termination

The Supplier may terminate their account by providing written notice. Termination does not remove responsibility for any existing or incomplete jobs.

10.4 Withholding Payouts

EcoTip may withhold payments if there are outstanding disputes, compliance concerns, penalties, unpaid deductions, or missing disposal evidence.

10.5 Surviving Obligations

Sections relating to confidentiality, data protection, payment obligations, and customer non-solicitation continue to apply even after termination.

11. General Provisions

11.1 Governing Law

This Agreement is governed by the applicable laws of the region where the Supplier provides services through the platform.

11.2 Entire AgreementThis Agreement constitutes the entire understanding between the parties and replaces any previous discussions or arrangements relating to the services.

11.3 Amendments

EcoTip may amend this Agreement from time to time. Continued use of the platform by the Supplier constitutes acceptance of any updated terms.

11.4 Assignment

The Supplier must not assign, transfer, or subcontract any obligations or rights under this Agreement without prior written consent from EcoTip.

11.5 Severability

If any part of this Agreement is held invalid or unenforceable, the remaining terms will continue in full effect.

11.6 Notices

Any required notices must be sent via the contact details provided to EcoTip. Notice is deemed served once sent by email.

11.7 Third-Party Rights

No person or entity other than EcoTip and the Supplier has any rights to enforce the terms of this Agreement.

11.8 Survival

Sections relating to confidentiality, data protection, customer non-solicitation, and financial obligations remain in effect after termination.

• Have read, understood, and agreed to all terms within this Agreement
• Hold valid insurance covering all services provided
• Accept full responsibility for legal, safe and compliant waste handling
• Understand they are not an employee or agent of EcoTip
• Will provide accurate disposal receipts for every job
